IMPORTANT NOTICE
These Terms and Conditions apply to you as a client for online ordering (hereinafter referred to as “you”, the “user”, or the “client”).
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE ONLINE ORDERING APPLICATION. YOUR USE OF THE ONLINE ORDERING APPLICATION CONSTITUTES ACCEPTANCE OF THESE TERMS.
1. GENERAL TERMS
These Terms and Conditions govern the relationship between You and Caesars Bagels and Deli and Caesars Bagels and Deli II regarding all online orders placed through our website or online ordering application (the “Online Ordering Application”).
We reserve the right to update or modify these Terms at any time without prior notice. It is your responsibility to review them each time you place an order.
2. ONLINE ORDERING APPLICATION
The Online Ordering Application is provided through a licensed platform operated by Takeout POS, which enables customers to place orders for food and services offered by the Restaurant.
You agree to comply with all applicable terms related to the use of the application.
We strive to ensure all information (menus, pricing, availability) is accurate; however, errors may occur. We do not guarantee that all content is always complete, accurate, or current.
3. ELIGIBILITY
You must be at least 18 years old or use the service under supervision of a parent or guardian.
You agree to provide accurate and complete information when placing an order.
4. ORDERING PROCESS
By placing an order, you make a binding offer to purchase products at the listed price.
Orders are accepted at our discretion.
Confirmation may be provided via screen notification, email, or SMS.
Once an order is placed, it cannot be modified or canceled.
5. PRICING & PAYMENT
Prices may differ between online, in-store, and phone orders.
Payment must be made using the available methods at checkout.
You are responsible for ensuring your payment details are valid.
6. NO REFUND / NO RETURN POLICY
ALL SALES ARE FINAL.
Caesars Bagels and Deli and Caesars Bagels and Deli II maintain a strict no refund and no return policy.
Once an order is placed and paid for, it cannot be refunded, returned, or exchanged.
For any concerns, you may contact the Restaurant directly, but refunds are not guaranteed under any circumstances.
7. DELIVERY TERMS
Delivery is available only within a 5-mile radius of the Restaurant.
Orders outside this radius may be declined.
Delivery is subject to:
- Restaurant availability
- Weather and traffic conditions
- Minimum order requirements (if applicable)
Delivery Conditions:
Delivery will be made to the main entrance of the provided address.
If you are not available to receive your order:
- The order will not be refunded.
- You will still be charged in full.
We aim to meet estimated delivery times but cannot guarantee exact timing.
8. PRODUCT DISCLAIMER
Product images are for illustrative purposes only.
Actual items may vary in appearance, size, or presentation.
We do not guarantee that menu descriptions are always complete or error-free.
9. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- Use of the Online Ordering Application is at your own risk.
- The Restaurant is not liable for:
- Technical issues, delays, or outages
- Errors in ordering or pricing
- Indirect or consequential damages
- Delivery delays due to circumstances beyond our control
Our total liability shall not exceed the total amount paid for your order.
10. THIRD-PARTY CONTENT
The Online Ordering Application may contain links or integrations with third-party services.
We are not responsible for third-party content, services, or policies.
Use of third-party services is at your own risk.
11. INTELLECTUAL PROPERTY
All content on the Online Ordering Application (including logos, images, menus, and text) is the property of the Restaurant or its licensors.
You may not copy, reproduce, or distribute any content without prior written permission.
12. USER RESPONSIBILITIES
You are responsible for maintaining the confidentiality of your account and payment details.
You accept full responsibility for all activities under your account.
13. TERMINATION
We reserve the right to:
- Refuse service
- Cancel orders
- Suspend or terminate access to the Online Ordering Application
at our sole discretion and without prior notice.
14. DELIVERY RISK
Risk in the products transfers to you upon delivery.
Once delivered, the Restaurant is not responsible for loss or damage.
15. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the State of New Jersey, United States.
Any disputes shall be resolved in the appropriate courts located in New Jersey.
16. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and the Restaurant regarding online ordering and supersede all prior agreements.

(collectively referred to as the “Restaurant,” “we,” “us,” or “our”)
1. Third-Party Delivery Service
To provide convenient delivery options to our customers, the Restaurant may use third-party delivery providers, including Uber Direct (“Delivery Provider”), to complete delivery of online orders.
The Restaurant prepares and packages orders for pickup by the Delivery Provider. Once an order has been accepted by the Delivery Provider, delivery services are performed by the Delivery Provider and are outside the direct control of the Restaurant.
2. Restaurant Responsibilities
The Restaurant is responsible for:
- Preparing customer orders according to the information received through the online ordering system.
- Packaging orders appropriately for pickup by the Delivery Provider.
- Providing completed orders to the Delivery Provider for delivery.
The Restaurant is not responsible for delivery activities performed by the Delivery Provider after the order has been picked up.
3. Delivery Provider Responsibilities
The Delivery Provider is responsible for transportation and delivery services, including:
- Driver assignment
- Delivery route selection
- Delivery timing after pickup
- Communication between the driver and customer
- Delivery completion procedures
Any issues related to the Delivery Provider’s services should be directed to the applicable Delivery Provider platform or support channel.
4. Delivery Times and Delays
Estimated delivery times provided during checkout are estimates only and are not guaranteed.
Delivery delays may occur due to:
- Driver availability
- Traffic conditions
- Weather conditions
- Vehicle issues
- Delivery demand
- Incorrect customer information
- Customer availability
- Circumstances beyond the Restaurant’s control
The Restaurant is not responsible for delays caused by the Delivery Provider or circumstances occurring after order pickup.
5. Order Pickup and Transfer of Responsibility
Once the completed order has been provided to the Delivery Provider, responsibility for transportation and delivery transfers to the Delivery Provider.
The Restaurant is not responsible for:
- Delayed deliveries after pickup
- Lost orders after pickup
- Incorrect delivery locations provided by the customer
- Customer communication issues with the driver
- Driver conduct or actions
- Delivery route decisions
- Delivery completion issues
6. Customer Information Requirements
Customers are responsible for providing accurate delivery information, including:
- Correct name
- Correct phone number
- Complete delivery address
- Apartment, building, unit, or access instructions
The Restaurant and/or Delivery Provider are not responsible for failed deliveries resulting from incorrect or incomplete information provided by the customer.
7. Customer Availability
Customers must be available to receive their delivery order.
If a customer cannot be reached or is unavailable:
- The Delivery Provider may attempt to contact the customer.
- The order may be handled according to the Delivery Provider’s procedures.
- The Restaurant is not responsible for failed delivery attempts caused by customer unavailability.
- Refunds are not guaranteed.
8. Food Quality After Pickup
The Restaurant prepares food using its normal quality and safety standards before releasing the order to the Delivery Provider.
After pickup by the Delivery Provider, the Restaurant is not responsible for:
- Food temperature changes
- Delays during transportation
- Improper handling during delivery
- Missing or damaged items caused after pickup
- Customer dissatisfaction caused by delivery conditions
Customers should report delivery-related concerns to the Delivery Provider and may also contact the Restaurant for assistance.
9. Refunds and Delivery Complaints
All sales are final unless otherwise required by applicable law.
Delivery-related complaints involving the Delivery Provider, including delays, driver issues, or delivery failures, will be reviewed on a case-by-case basis.
The Restaurant does not guarantee refunds, credits, or replacements for issues caused by third-party delivery services after the order has been transferred to the Delivery Provider.
10. Limitation of Liability
To the fullest extent permitted by law, Caesars Bagels and Deli and Caesars Bagels and Deli II are not liable for:
- Actions or omissions of third-party delivery providers
- Delivery delays after pickup
- Driver availability or conduct
- Lost, damaged, or delayed deliveries after pickup
- Incorrect customer delivery information
- Delivery failures caused by circumstances outside the Restaurant’s control
By placing an online order that uses third-party delivery services, you acknowledge and agree that delivery services may be performed by an independent third-party provider.

To make these Terms of Service (the “Terms”) easier to read, we will refer to Takeout POS (including our directors, officers, members, managers, employees, service providers, affiliates, successors and assigns) as “our”, “we”, or “us”, and we will refer to individuals who place an order or make a purchase from a Restaurant through the Service (including you) as “you,” “Restaurant Customer,” or “User(s)”.
These Terms apply when you access or use the Restaurant website and/or online ordering system (the “Site”, a component of the Service), or in any way use or access any other components or features of the Service, if any and when available. These Terms supplement any Terms of Service posted on the Takeout POS website, which apply to the Restaurant’s use of the Takeout POS Service to facilitate online ordering. The Restaurant may also have additional terms of service that apply to orders and purchases you make with the Restaurant. Please contact the Restaurant directly with any questions.
By using the Service, you accept and agree to be bound and abide by these Terms. Certain features of the Service may be subject to additional guidelines, terms, or rules, which may be set forth in a separate agreement, or posted on the Site in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms. If you do not agree to these Terms, you must not access or use the Service.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Service after the date such revised Terms are posted.
ABOUT THE SERVICE
Takeout POS provides a web-based platform through which Restaurants can provide online ordering for their customers, and which allows customers to connect with restaurants to place orders for pickup, dine-in and/or delivery. Restaurant Customers may, but do not need to, create an account to place an order with a Restaurant through the system.
The “Service” includes (a) the Site; (b) the online ordering system, tools, features, and services provided and/or made available through the Site; and (c) all Content provided and/or made available through the Site.
ELIGIBILITY & USER REPRESENTATIONS
The Service is intended for users who are at least 18 years old. You must be at least 18 years old to register for an account and to use the Service. By using the Service, you represent and warrant that you are of legal age to form a binding contract and meet all of the eligibility requirements in these Terms.
By using the Service, you represent and warrant that:
(1) you have the legal capacity and agree to comply with these Terms;
(2) you are not a minor in your jurisdiction;
(3) if you use the Service on behalf of a company or other legal entity, you have the authority to act on its behalf;
(4) you will not access the Service through automated or non-human means;
(5) you will not use the Service for any illegal or unauthorized purpose; and
(6) your use complies with all applicable laws.
PAYMENT PROCESSING PRACTICES FOR RESTAURANT CUSTOMERS
If you use the Service as a Restaurant Customer, your order and payment information will be sent to the Restaurant to fulfill your order. You are solely responsible for all orders you submit and the accuracy of all information provided. Once an order is finalized, you may not be able to cancel or modify it. Any disputes must be handled directly with the Restaurant.
Takeout POS uses third-party intermediaries to process payments. These intermediaries and the Restaurant may process and/or use your payment information to complete transactions. While reasonable efforts are made to protect your data, Takeout POS cannot guarantee complete security and is not liable for unauthorized access or misuse of your information.
RELATIONSHIP BETWEEN YOU AND THE RESTAURANT
Although Takeout POS manages the Restaurant’s website and ordering system, it is not responsible for:
- Order fulfillment or failure to fulfill
- Delivery or delivery issues
- Food quality
- Order accuracy
- Pricing accuracy
- Refunds
- Handling of your personal data by the Restaurant
- Restaurant communications
All issues related to the above must be directed to Caesars Bagels and Deli or Caesars Bagels and Deli II, depending on the location from which the order was placed.
COMMUNICATIONS ABOUT YOUR ORDER
By placing an order, you authorize Takeout POS and/or the Restaurant to contact you via email, phone, text, or notifications regarding your order status, confirmations, or related matters.
INTELLECTUAL PROPERTY
All content on the Service is owned by or licensed to Takeout POS and is protected by applicable intellectual property laws. You may use the Service for personal use only and may not copy, distribute, or exploit any content without permission.
LICENSE TO USE THE SERVICE
You are granted a limited, non-transferable, revocable license to use the Service for personal purposes. Takeout POS reserves the right to suspend or terminate access at any time.
PROHIBITED ACTIVITIES
You agree not to:
- Use the Service for illegal purposes
- Attempt to hack or disrupt the system
- Collect user data without permission
- Use bots or automation
- Copy or exploit the platform commercially
- Upload harmful software or interfere with functionality
THIRD-PARTY CONTENT
The Service may include links to third-party content. Takeout POS is not responsible for the accuracy, safety, or reliability of such content or any transactions made with third parties.
PRIVACY POLICY
By using the Service, you agree to the Privacy Policy. Your data may be processed in the United States and shared with the Restaurant to fulfill orders.
MODIFICATIONS AND INTERRUPTIONS
Takeout POS may modify or discontinue the Service at any time without notice and is not liable for any resulting issues or downtime.
GOVERNING LAW
These Terms are governed by applicable U.S. law. Any disputes will be handled in accordance with the provisions below.
DISPUTE RESOLUTION
Disputes must first be resolved through informal negotiation. If unresolved, they will be settled through binding arbitration. You waive the right to a jury trial and participation in class actions.
DISCLAIMER
The Service is provided “as is” without warranties of any kind. Takeout POS does not guarantee accuracy, reliability, or uninterrupted access.
LIMITATION OF LIABILITY
Takeout POS is not liable for indirect or consequential damages. Any liability is limited to the amount paid by you, if any.
INDEMNIFICATION
You agree to indemnify and hold harmless Takeout POS from any claims arising from your use of the Service or violation of these Terms.
USER DATA
You are responsible for any data you provide. Takeout POS is not liable for data loss or corruption.
ELECTRONIC COMMUNICATIONS
You consent to receive electronic communications and agree that electronic agreements and signatures are legally binding.
MISCELLANEOUS
These Terms constitute the full agreement between you and Takeout POS. If any part is found unenforceable, the remaining provisions remain in effect.
